PUBLIC CONSULTATION ON DRAFT SHORT FORM PROSPECTUS
Section 30B of the Capital Markets Act provides that an issuer may submit a short form prospectus where an issue is targeted at sophisticated investors. A Short Form Prospectus is also suited for existing approved issuers who continuously disclose information and therefore have the opportunity to make disclosures of relevant material changes quicker and more cost effectively than through the conventional means of distributing a prospectus.
In order to facilitate efficient and expedient issuance of securities by such issuers, the Authority has developed a checklist of the requirements to be included in a Short Form Prospectus so as to make available the key information to targeted investors, while making preparation of the same less onerous for the issuer.
In accordance with Section 12A (3) of the Act, the Authority now invites stakeholders and the general public to submit comments on the proposed checklist. The proposed checklist can be found here.
